Board of Directors:

  1. Chairperson (Board Chair):
    • Oversees board and executive committee meetings
    • Partners with the chief executive to ensure board resolutions are implemented
    • Appoints committee chairs and recommends committee members
    • Assists in preparing board meeting agendas
    • Oversees searches for a new chief executive
    • Coordinates the chief executive’s annual performance evaluation
  2. Vice Chair:
    • Acts as the board chair’s understudy and second-in-command
    • Assumes responsibilities of the chair in their absence
    • Attends all board meetings
    • Serves on the executive committee if one exists
    • Carries out special assignments as requested by the board chair
  3. Secretary:
    • Ensures the safety and accuracy of all board records
    • Takes or reviews board meeting minutes
    • Provides notice of board and committee meetings when required
    • Assumes responsibilities of the chair in the absence of the board chair, chair-elect, and vice chair
  4. Treasurer:
    • Chairs the finance committee
    • Manages the board’s review of and action on financial responsibilities
    • Works with executives to ensure timely financial reports to the board
    • Presents the annual budget to the board for approval
    • Reviews the annual audit and answers board members’ questions
  5. General Board Members:
    • Attend all board and committee meetings
    • Stay informed about the organization’s mission, services, policies, and programs
    • Review meeting materials before board and committee meetings
    • Serve on committees or task forces
    • Make personal financial contributions to the organization
    • Advocate for the organization
    • Suggest potential board nominees
    • Follow conflict-of-interest and confidentiality policies
    • Assist in carrying out fiduciary responsibilities

In Missouri, nonprofit board members are bound by the ethical duties of care, loyalty, and obedience. The board must consist of at least five directors, each of whom should be a member of the organization. All powers and duties must be exercised personally by the directors and not by alternates or representatives. Board Meetings are to be held quarterly.

I recommend a minimum of 3 General Board Members with the 4 title board positions.

Staff will be personnel employed to carry out the day-to-day operations of the organization.
